These Terms of Service (the "Terms") are a binding agreement between DataMine AI, LLC ("DataMine AI," "we," "us," or "our") and the business on whose behalf you use the Service ("Customer," "you," or "your"). Please read them carefully. They include an agreement to resolve disputes by binding individual arbitration and a waiver of jury trials and class actions (Section 20).
By creating an account, accepting an invitation to an account, clicking to agree, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
The Service is offered to businesses and other organizations, not to consumers for personal use. The individual who accepts these Terms represents that they are at least 18 years old and have authority to bind the Customer, and these Terms bind the Customer and every User the Customer allows into its Account.
If the Customer and DataMine AI have signed a separate written agreement or order form covering the Service, that document controls over these Terms to the extent they conflict.
You must provide accurate registration information and keep it current. Each login is for one individual; credentials may not be shared. You are responsible for keeping credentials confidential, and we strongly recommend enabling two-factor authentication. Notify us immediately at [email protected] if you suspect unauthorized access.
Account owners and admins control who is invited, what role each User holds, which Third-Party Connections are set up, and billing. The Customer is responsible for all activity in its Account, including by its Users and by anyone it invites, whether or not authorized, and for ensuring its Users comply with these Terms.
The Service is not a system of record or a backup. You must retain original copies of every file and data source you bring into the Service. We do not guarantee that Customer Data can be recovered after loss or deletion.
DataMine AI is an operations-intelligence service that ingests Customer Data, computes KPIs, detects anomalies, answers questions in plain language, and delivers briefings, using automated analysis tools and third-party artificial-intelligence models.
We continually improve the Service and may add, change, or remove features, connectors, or AI model providers. Where practicable, we will give paid Customers at least 30 days' notice before removing a material feature. Features described as planned, beta, or on our roadmap (for example, accounting or point-of-sale connectors, or a SOC 2 examination) are not commitments and may change or never ship.
We provide support by email according to your plan and use commercially reasonable efforts to respond promptly. We do not offer a service-level agreement or guaranteed response times.
New Customers may use the Service free for 14 days with all features enabled and no payment method required. One trial is available per business. We may modify, limit, or end trials at our discretion, and may terminate any trial Account that violates Section 12. If you do not subscribe by the end of the trial, your Account enters the Frozen State described in Section 8. Customer Data in a trial Account is handled as described in the Privacy Policy.
Plans and fees. Plans, prices, and allowances (users, and monthly Analyst dossiers, questions and documents) are those shown at dataminehq.com/pricing at the time you purchase, or in your Order. Fees are in U.S. dollars. Every location is included; when you reach your plan's allowances, the Service will prompt you to upgrade.
Payment. Fees are billed in advance through our payment processor, Stripe, and you authorize us to charge your payment method for all fees when due. You must keep a valid payment method on file. We never store full card numbers.
Automatic renewal. Your Subscription renews automatically at the end of each billing period (monthly or annual) for a period of the same length, at the then-current price, until you cancel. You may cancel at any time before the renewal date through the billing portal in the Application's settings, and the cancellation takes effect at the end of the current period.
Price changes. We may change prices with at least 30 days' notice by email to the Account owner. Changes take effect at your next renewal. Rates locked under our founding-customer program are honored according to that program's terms.
Taxes. Fees exclude sales, use, value-added, and similar taxes, which you are responsible for and which may be added at checkout.
Plan changes and failed payments. Upgrades take effect immediately and are prorated; downgrades take effect at the next renewal. If a payment fails, we will retry it and notify you. If it continues to fail, your Account enters the Frozen State.
You may cancel your Subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period, and you keep access until then. We do not provide prorated refunds for partial periods.
Annual money-back guarantee. If you purchase an annual plan and are not satisfied, email [email protected] within 30 days of your first annual payment and we will refund it in full to the original payment method. The guarantee applies once per Customer, to the first annual payment only, and not to renewals.
Except as stated in this Section or Section 16 or 23, all fees are non-refundable.
An Account enters the "Frozen State" when a trial ends without a Subscription, a cancellation takes effect, or payment fails and is not resolved. In the Frozen State, Users can sign in and view existing content, but uploads, connector syncs, new questions, and briefings are paused. Nothing is deleted, and you can restore full access at any time by subscribing.
We may delete an Account that has remained in the Frozen State for 90 days or more, after emailing the Account owner at least 14 days in advance.
Ownership. As between you and DataMine AI, you own all Customer Data and all Output generated from it.
License to us. You grant DataMine AI a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, analyze, and display Customer Data solely to provide, secure, support, and improve the Service for you, including transmitting portions of it to the AI model providers and other sub-processors described in the Privacy Policy. This license ends when the Customer Data is deleted, subject to the retention exceptions in the Privacy Policy.
No training, no sale. We will not use Customer Data to train, fine-tune, or improve any artificial-intelligence or machine-learning model, and we will not permit our providers to do so. We will not sell, rent, or license Customer Data to anyone, and we will not use it for advertising.
Your responsibilities. You represent and warrant that you have all rights, licenses, and consents necessary to bring Customer Data into the Service and to grant the license above, including any notices to or consents from employees, customers, vendors, or other individuals whose information appears in your files or connected sources, and that your use of the Service complies with all applicable laws, including privacy and data-protection laws. You must not bring in data prohibited by Section 12.
Usage data. We may collect and use aggregated or de-identified data about how the Service is used, provided it does not identify you or any individual, to operate and improve the Service.
Export and deletion. While your Account exists you may download Output from the Application and may request a complete copy of your Customer Data by emailing [email protected]. When an Account owner deletes the Account, Customer Data is deleted immediately and permanently, and we have no obligation to retain or return it afterward. Residual copies held by sub-processors are removed according to their retention periods.
The Service can read data from Third-Party Connections you set up. By connecting a source, you authorize DataMine AI to access it on a read-only basis using the permissions shown at the time of connection: for Google Drive, the drive.readonly scope; for Microsoft, the Files.Read.All, Sites.Read.All, User.Read, and offline_access scopes; and for Supabase, read-only queries using the database credentials you supply. The Service never writes to, modifies, or deletes anything in a connected source.
You represent that you are authorized to connect each source and to make its contents available to the Users in your Account, including any authorization your organization requires for SharePoint sites, shared drives, or shared databases.
Third-Party Connections are governed by their providers' own terms, including the Google Terms of Service and Google API Services User Data Policy, the Microsoft Services Agreement or your Microsoft 365 agreement, and the Supabase Terms of Service. Those providers are not our subcontractors, and we are not responsible for their availability, changes to their APIs or permissions, rate limits, outages, or the accuracy of the data they hold. A sync may fail or stop if a provider changes its service or revokes access.
You may disconnect any source at any time in the Application's settings. When you do, we revoke or erase the stored credentials; copies of files or tables already synced remain in your Account until you delete them. You are responsible for the security of credentials you paste into the Service (such as a Supabase connection string) and should use least-privilege, read-only database roles and rotate credentials after disconnecting. We may suspend a connection that places excessive load on the Service or a provider, or that appears to be unauthorized.
Output is generated by automated systems, including large language models operated by third parties. Although the Service computes figures from your actual data using constrained analysis tools, Output may be incomplete, inaccurate, out of date, or misinterpreted, and you must verify it before relying on it. Output may also include context drawn from public web searches that we do not control.
Output is provided for informational purposes only. It is not financial, accounting, legal, tax, human-resources, or investment advice, and no professional or fiduciary relationship is created by your use of the Service. You are solely responsible for every decision you make and action you take based on Output, and DataMine AI is not liable for those decisions or actions.
Because of the nature of machine learning, the same input may produce different Output at different times, and Output generated for you may be similar to Output generated for others. We claim no ownership of Output, and you claim no exclusive rights in Output that is generic or not derived from your Customer Data.
You will not, and will not permit anyone to:
Prohibited data. The Service is not designed for, and you must not bring in: protected health information subject to HIPAA (we do not sign business associate agreements); full payment card numbers or other data subject to PCI DSS; government-issued identification numbers such as Social Security numbers, unless strictly necessary and lawful; personal information of children under 13; or data controlled under ITAR or similar export regimes.
Plan allowances are subject to fair use. We may throttle or suspend usage that materially exceeds normal patterns or threatens the stability of the Service.
"Confidential Information" means non-public information disclosed by one party to the other under these Terms that is marked confidential or that a reasonable person would understand to be confidential. Customer Data is your Confidential Information; the non-public features, pricing offers, security details, and roadmap of the Service are ours. Confidential Information excludes information that is or becomes public through no fault of the recipient, was already known to the recipient, is independently developed, or is rightfully received from a third party without restriction.
Each party will use the other's Confidential Information only to perform under these Terms, will protect it with at least reasonable care, and will disclose it only to employees, contractors, and advisors who need it and are bound by comparable obligations. A party may disclose Confidential Information when legally compelled, provided it gives prompt notice (where lawful) and cooperates with efforts to limit the disclosure. These obligations last for three years after the Terms end, and indefinitely for Customer Data and trade secrets.
DataMine AI and its licensors own all rights in the Service, including its software, analysis tools, prompts, KPI templates, documentation, designs, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during the term. No other rights are granted, whether by implication or otherwise.
If you send us suggestions, ideas, or other feedback, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you. We will not identify you as a customer to the public, to prospects, or to other customers, and we will not use your name, logo, or testimonial, without your prior consent (email is sufficient), except as agreed under a separate program such as our founding-customer program.
Our Privacy Policy describes what information we collect, the sub-processors and AI model providers we use, our security measures, and how long we keep data. It forms part of these Terms.
We maintain safeguards including encryption in transit and at rest, application-level encryption of connector credentials, logical segregation of Customer Data by Account, and hosting on Amazon Web Services in the United States, and we will notify you without undue delay of any breach of security affecting your Customer Data. A Data Processing Addendum incorporating Standard Contractual Clauses is available on request at [email protected]; once signed, it controls over these Terms with respect to personal data.
You are responsible for providing any notices to, and obtaining any consents from, your Users and the individuals whose information appears in Customer Data that applicable law requires.
By you. You may stop using the Service at any time. Cancelling a Subscription places the Account in the Frozen State at the end of the billing period (Section 8). An Account owner may delete the Account at any time from the Application's settings, which terminates these Terms and deletes Customer Data immediately and permanently.
By us. We may suspend access to all or part of the Service immediately if we reasonably believe it is necessary to prevent a security threat, to avoid legal liability, because of non-payment after notice, or because of a material breach of Section 12. We may terminate these Terms if you materially breach them and do not cure the breach within 15 days of notice, or if we discontinue the Service, in which case we will give at least 30 days' notice and refund any prepaid fees for the unused portion of your term.
Effect. On termination, your right to use the Service ends and Customer Data is deleted as described in Section 9 or Section 8, as applicable. Sections 9 (ownership), 11, 13, 14, 17, 18, 19, 20, and 22 survive termination, together with any payment obligations that accrued before it.
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, DATAMINE AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT OUTPUT WILL BE ACCURATE OR COMPLETE, THAT THIRD-PARTY CONNECTIONS OR AI MODEL PROVIDERS WILL REMAIN AVAILABLE, OR THAT CUSTOMER DATA WILL BE BACKED UP OR RECOVERABLE.
We use commercially reasonable efforts to keep the Service available and to give advance notice of planned maintenance, but we do not offer an uptime guarantee or service-level agreement. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, DATAMINE AI'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO DATAMINE AI IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID NO FEES.
These limitations do not apply to your payment obligations, either party's breach of Section 13, either party's indemnification obligations under Section 19, or either party's gross negligence, fraud, or willful misconduct. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
By you. You will defend, indemnify, and hold harmless DataMine AI and its members, managers, employees, and contractors from any third-party claim, and the resulting damages, costs, and reasonable attorneys' fees, arising out of Customer Data (including any allegation that you lacked the rights or consents to use it), your use of Third-Party Connections, your use of Output, or your violation of law or of Section 12.
By us. We will defend, indemnify, and hold you harmless from any third-party claim, and the resulting damages, costs, and reasonable attorneys' fees, alleging that the Service, as provided by us and used in accordance with these Terms, infringes a United States patent, copyright, or trademark or misappropriates a trade secret. This obligation does not cover Customer Data, Output, Third-Party Connections, or claims arising from your modifications or from combining the Service with anything we did not provide. If the Service becomes, or we believe it may become, subject to such a claim, we may modify or replace it, obtain a license for it, or terminate the affected part of the Service and refund prepaid fees for the unused term. This Section states our entire liability for infringement claims.
Procedure. The indemnified party must give prompt written notice of the claim, allow the indemnifying party to control the defense and settlement, and cooperate at the indemnifying party's expense. The indemnifying party may not settle a claim in a way that admits fault on behalf of, or imposes obligations on, the indemnified party without its written consent, not to be unreasonably withheld.
Governing law. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before starting arbitration or any other proceeding, a party must send the other a written description of the dispute (to us, at [email protected] and the postal address in Section 24; to you, at the Account owner's email address), and the parties will try in good faith to resolve it for 30 days.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in English, seated in Austin, Texas. Either party may appear by video conference. The arbitrator may award any relief a court could award to the individual party, and judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or Confidential Information. For any matter not subject to arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Williamson County, Texas.
Class action and jury waiver. EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PARTY'S CLAIMS. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court rather than arbitration, and the remainder of this Section remains in effect.
The Service is offered primarily to businesses in the United States. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, and that neither you nor any of your Users appears on a U.S. government restricted-party list. You will comply with all applicable export control and sanctions laws in using the Service.
Entire agreement. These Terms, the Privacy Policy, your Order, and any signed Data Processing Addendum are the entire agreement between the parties regarding the Service and supersede all prior agreements and understandings. If they conflict, a signed agreement or Data Processing Addendum controls first, then your Order, then these Terms, then the Privacy Policy.
Assignment. You may not assign these Terms without our written consent, except to a successor in a merger, acquisition, or sale of substantially all of your assets, with notice to us. We may assign these Terms to an affiliate or to a successor in a merger, acquisition, or sale of assets. Any other attempted assignment is void.
Notices. Notices to DataMine AI must be sent by email to [email protected] (legal notices: [email protected]), with a copy by mail to the address in Section 24. Notices to you will be sent by email to the Account owner's address. Email notices are deemed received on the next business day after sending.
Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government action, internet or utility failures, and failures or outages of third-party services such as Amazon Web Services, Stripe, Google, Microsoft, or AI model providers.
Other terms. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. A party's failure to enforce a provision is not a waiver of it. The parties are independent contractors, and there are no third-party beneficiaries of these Terms. Headings are for convenience only. If you are a U.S. government entity, the Service is a "commercial item" provided with only the rights set out in these Terms.
We may update these Terms from time to time. We will post the new version here and update the "Last updated" date. For material changes we will email Account owners at least 14 days before the change takes effect, or at least 30 days if the change affects fees or the limitation of liability. Your continued use of the Service after the effective date means you accept the updated Terms. If you object to a material change, you may terminate these Terms before the effective date by deleting your Account or emailing [email protected], and we will refund any prepaid fees for the unused portion of an annual term.
